Terms of service: Carbon Plan Desk

1. Who we are

1.1 "Carbon Plan Desk", "we" and "us" means Oz Kilbride, a sole trader trading as Carbon Plan Desk, of Northleigh Manor, Morchard Bishop, Crediton, Devon, EX17 6RH. Email: hello@carbonplandesk.co.uk.

1.2 "You" means the business or organisation that places an order. Only the person placing the order on its behalf, with authority to do so, may accept these terms.

2. Business customers only

2.1 We sell only to businesses and other organisations (for example limited companies, LLPs, charities and public bodies). We do not sell to consumers. By ordering, you confirm that you are acting for a business.

3. The service

3.1 We prepare a draft Carbon Reduction Plan ("Plan") for your organisation in the structure of the UK government's PPN 006 Carbon Reduction Plan template. We calculate emissions from the data you supply using the UK government greenhouse gas conversion factors for company reporting (DESNZ) for your reporting year.

3.2 Refresh (£149) updates an existing published plan with a new reporting year. New plan (£295) produces a first plan. Both prices apply to organisations with up to 25 full-time-equivalent staff and UK operations. Larger organisations need a written quote.

3.3 We aim to send the draft within 3 working days of receiving a complete intake form. Working days are Monday to Friday, excluding bank holidays in England. If information is missing, the clock starts when it is complete.

3.4 Each order includes up to two rounds of corrections, requested within 30 days of the draft.

3.5 Deliverables after payment: the final Plan as PDF, an editable version, and the calculation workbook.

4. What the service is not

4.1 We do not audit, verify, assure or certify any emissions data or plan. The Plan will say that it has not been independently audited or verified. PPN 006 does not require an audit.

4.2 We are not a government body. We are not approved, endorsed or accredited by any government department, the NHS or any certification body.

4.3 We do not give legal, tax or procurement advice. We do not guarantee that a Plan will be accepted by any buyer or that you will win any contract. Buyers set their own requirements, and you must check each tender's instructions.

4.4 We work only from the information you give us. Where you ask us to use an estimate, the Plan and workbook label it as an estimate.

5. Your responsibilities

5.1 You must give accurate and complete information and tell us promptly if anything changes.

5.2 You must review the draft and confirm the data before approval. Approval must be given by someone with authority. Under PPN 006 the Plan must be approved by your board of directors (or, for an LLP, the members) and signed by a director or designated member. We never sign on your behalf.

5.3 You are responsible for publishing the Plan on your website, for its content once you have approved it, and for refreshing it when needed (a CRP is generally treated as valid for 12 months under PPN 006).

6. Price and payment

6.1 The price is the one shown when you order. Carbon Plan Desk is not VAT-registered, so no VAT is charged.

6.2 You pay only after you approve the draft. We will send an invoice or payment link on approval. Payment is due within 7 days of approval. Final files are released on payment.

6.3 If you decide not to approve the draft, tell us and you owe nothing. We will not release a final Plan in that case.

7. Cancellation

7.1 You can cancel at any time before approving the draft, free of charge.

7.2 We may decline or cancel an order before delivery (for example if the organisation is outside the service scope). If we do, you owe nothing.

8. Corrections after delivery

8.1 If we make a calculation or transcription error in a delivered Plan, we will correct it free of charge if you tell us within 12 months of delivery.

9. Intellectual property

9.1 Once you have paid, you own the final Plan and may publish, copy and adapt it freely.

9.2 Our templates, software, methods and workbook layout remain ours. We grant you a non-exclusive, perpetual licence to use the workbook for your own organisation.

9.3 The PPN 006 template wording is Crown copyright, used under the Open Government Licence v3.0. The DESNZ conversion factors are also used under the Open Government Licence.

10. Confidentiality and data protection

10.1 We keep your business data confidential and use it only to provide the service, keep required records, and (with your permission only) help prepare next year's refresh.

10.3 Aggregated data, please. We need totals (for example kWh, litres, miles or kilometres by mode, and waste tonnes), not information about individuals. Please send staff commuting and business travel data as totals or anonymised survey results, without names or other identifiers.

10.4 Where we process personal data for you. If any information you send us contains personal data (for example individual commuting survey responses, or the name and job title of your plan signatory), you are the controller and we act as your processor. We will: (a) process it only on your documented instructions, which are these terms and your order, to prepare your Plan; (b) keep it confidential, and ensure that anyone authorised to process it is bound by confidentiality; (c) keep it secure using appropriate technical and organisational measures; (d) use only sub-processors needed to run the service (email and file storage providers), remain responsible for them, and tell you before adding new ones; (e) help you, where reasonable, to respond to requests from individuals and to meet your security, breach-notification and impact-assessment obligations; (f) tell you without undue delay if we become aware of a personal data breach affecting your data; (g) delete or return the personal data at the end of the service, unless the law requires us to keep it, and delete individual-level survey data within 30 days of delivery; and (h) give you the information you reasonably need to show compliance with these obligations, and allow and contribute to reasonable audits. These obligations are intended to meet Article 28(3) of the UK GDPR.

11. Liability

11.1 Our total liability to you for any order, whether in contract, tort (including negligence) or otherwise, is limited to the price you paid for that order.

11.2 We are not liable for loss of profits, contracts, tenders, business or goodwill, or for any indirect or consequential loss.

11.3 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited.

12. Complaints

12.1 Email hello@carbonplandesk.co.uk. We will acknowledge within 2 working days and aim to resolve within 10 working days.

13. General

13.1 These terms, the order details and our privacy notice are the whole agreement.

13.2 If any part is found unenforceable, the rest remains in force.

13.3 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
